Terms of Service

These terms govern your use of SpendSignoff. Effective June 7, 2026.

Your AI can read and draft — it can never spend without your approval.

1.Agreement to terms

These Terms of Service (the “Terms”) are a binding agreement between you and SpendSignoff covering your access to and use of the SpendSignoff website, the hosted MCP server at https://mcp.spendsignoff.com/mcp, the dashboard, and any related services (together, the “Service”). By creating an account, connecting an ad account, or using the Service in any way, you accept these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

2.The Service

SpendSignoff is an MCP (Model Context Protocol) server that connects AI clients — such as Claude, ChatGPT, and Cursor — to ad platforms including Google Ads and Meta. It lets you manage ad campaigns in plain English from inside your AI client. The Service exposes two capabilities to your AI client: reading your connected accounts and drafting proposed changes. It exposes no capability to spend.

SpendSignoff is propose-only. An always-on operator drafts changes — budget reallocations, bid changes, pacing fixes — but every change that moves money stays a draft until a signed-in human approves it through a two-step “Approve and push live” then “Confirm” control. The OAuth scopes issued to your AI client are mcp.read and mcp.draft only. There is no mcp.approve scope, and no setting that grants your AI client one. Every action — read, draft, approval, push, and rollback — is recorded in a KMS-signed, append-only audit log with one-click rollback. See the security page and safety docs for the full model.

Google Ads and Meta are live today. TikTok, Microsoft, LinkedIn, and Amazon are listed as coming soon and are not part of the Service until announced as live. We may add, change, or remove features at any time.

3.Accounts & eligibility

You must be at least 16 years old to use the Service. You agree to provide accurate, current information when you register and to keep it up to date. You are responsible for the activity under your account and for keeping your credentials secure. Tell us promptly at legal@spendsignoff.com if you suspect unauthorized use. We authenticate the dashboard through Clerk; you are responsible for the security of the identity provider and AI client you connect.

4.The safety model & your responsibility

The safety contract is the product, and it is the basis on which you agree to use SpendSignoff: your AI can read and draft — it can never spend without your approval. SpendSignoff drafts changes; you approve all spend. When you click through the two-step approval control, you are the party authorizing that change to go live on the ad platform.

You are solely responsible for the changes you approve and for the results they produce, including ad spend, bids, budgets, targeting, and creative. You are responsible for reviewing the before→after diff before you confirm. A draft proposed by the operator is a suggestion, not advice you are required to follow, and not a guarantee of any outcome.

You are responsible for complying with the terms and policies of each ad platform you connect — including the Google Ads policies and Meta’s advertising policies — and with all laws that apply to your advertising, such as those covering disclosures, restricted categories, and consumer protection. Connecting an account does not transfer your obligations to us. If a platform suspends, disapproves, or bills your account, that relationship is between you and the platform.

5.Acceptable use

You agree not to:

  • use the Service to violate any law or any ad platform’s terms or policies;
  • connect ad accounts you are not authorized to manage;
  • attempt to bypass, disable, or work around the approval step, scope model, or any other safety control;
  • probe, scan, or test the security of the Service, or interfere with its normal operation;
  • reverse engineer, scrape, or resell the hosted Service except as the open-source connector license in section 7 expressly permits;
  • use the Service to send spam, deceptive ads, or content you have no right to advertise.

We may suspend access that we reasonably believe breaches these rules or risks harm to you, other users, or the ad platforms.

6.Fees & billing

SpendSignoff sells flat, account-anchored plans: Free, Solo, Pro, and Agency. Reads are ungated and included on every plan, including Free. Current plan limits and prices are shown on the pricing page.

Paid plans are billed through Stripe. By subscribing you authorize recurring charges to your payment method for the plan you select until you cancel. Plans renew automatically at the start of each billing period. You can change or cancel your plan at any time through the Stripe customer portal linked from your account; cancellation takes effect at the end of the current paid period, and fees already paid are non-refundable except where the law requires otherwise. Prices are exclusive of taxes; applicable taxes are calculated and collected through Stripe Tax. If a charge fails, we may suspend paid features until payment succeeds. We may change prices on notice, effective at your next renewal.

7.Intellectual property & the open-source connector

The Service, including the dashboard, the hosted MCP server, the policy core, branding, and documentation, is owned by SpendSignoff and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the hosted Service under these Terms. You keep all rights to your own data, campaigns, and creative; you grant us the rights needed to operate the Service for you, such as reading and storing account data to produce drafts, reports, and the audit log.

The SpendSignoff MCP connector core is published as open source under its stated open-source license. Your use of that code is governed by that license, not by these Terms, and the license’s warranty and liability disclaimers apply to it. These Terms govern the hosted Service, your account, and billing — which the open-source license does not cover.

8.Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that drafts will be accurate or profitable, or that any advertising outcome — such as a return on ad spend — will be achieved. Ad platforms are operated by third parties; we do not control their availability, pricing, policies, or decisions, and we are not responsible for them.

9.Limitation of liability

To the maximum extent permitted by law, SpendSignoff will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. In particular, SpendSignoff is not liable for ad spend you approved, for changes that went live through the approval control, or for any ad platform’s outcomes, charges, suspensions, or decisions. You authorized the spend; the safety model exists so that you, not the AI and not SpendSignoff, hold that authority.

To the extent we are found liable despite the above, our total liability for any claim relating to the Service is limited to the greater of the fees you paid SpendSignoff in the three months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10.Indemnification

You agree to defend, indemnify, and hold harmless SpendSignoff and its officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising out of your use of the Service, the changes you approved, your advertising content, your breach of these Terms, or your violation of any ad platform’s policies or any law.

11.Termination

You may stop using the Service and close your account at any time; cancel paid plans through the Stripe customer portal. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use creates risk for the Service or the connected ad platforms. On termination, your right to use the Service ends. Sections that by their nature should survive — including fees owed, intellectual property, disclaimers, limitation of liability, and indemnification — survive termination. We retain the audit log as described in our security and safety documentation.

12.Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute that is not subject to arbitration or small-claims resolution, and you consent to their jurisdiction and venue.

13.Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you in the dashboard or by email. Changes take effect when posted. Your continued use of the Service after changes take effect means you accept the updated Terms; if you do not agree, stop using the Service.
